The website located at bugvanta.com (the “Site”) is owned and operated by Bugvanta Pest Control LLC (“Bugvanta,” “Company,” “we,” “our,” or “us”). These Terms of Use (the “Terms”) govern your access and use of the Site.
By accessing or using the Site, you agree to be bound by these Terms and represent that you have the authority and capacity to enter into them. If you do not agree, do not use the Site. You must be at least 18 years old to use the Site.
1. Accounts
- Account Creation: Some Site features may require creating an account. You agree to provide accurate, complete information and to keep it current.
 - Account Security: You are responsible for maintaining confidentiality of your login credentials and for all activity under your account. Notify us immediately if you suspect unauthorized access.
 
2. Access to the Site
- We grant you a limited, revocable, non-exclusive, non-transferable license to use the Site for personal, non-commercial purposes.
 - You may not:
- Copy, distribute, or exploit any part of the Site for commercial use.
 - Reverse engineer, modify, or make derivative works of the Site.
 - Use the Site to build a competing product or service.
 
 - We reserve the right to modify, suspend, or discontinue the Site at any time without notice.
 
3. Intellectual Property
All intellectual property rights in the Site (text, graphics, logos, designs, and software) belong to Bugvanta or our licensors. No rights are transferred to you beyond the limited license above.
4. User Content
- Definition: “User Content” includes information, feedback, or materials you submit through the Site.
 - Responsibility: You are solely responsible for your User Content and assume all risks associated with it.
 - License: By submitting User Content, you grant Bugvanta a worldwide, royalty-free, nonexclusive license to use, display, and distribute that content as needed to operate the Site.
 - Prohibited Content: You may not submit anything unlawful, defamatory, infringing, harmful, harassing, or otherwise objectionable.
 
5. Acceptable Use
You agree not to:
- Upload viruses or malicious code.
 - Engage in unauthorized advertising, spam, or data scraping.
 - Attempt to gain unauthorized access to the Site or its systems.
 - Interfere with other users’ access to the Site.
 
6. Third-Party Links
The Site may contain links to third-party websites. Bugvanta is not responsible for the content, policies, or practices of third-party sites. Your use of such links is at your own risk.
7. Disclaimers
The Site is provided “as is” and “as available.”
- Bugvanta makes no warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
 - We do not warrant that the Site will be error-free, uninterrupted, or secure.
 
8. Limitation of Liability
To the maximum extent permitted by law:
- Bugvanta will not be liable for indirect, incidental, or consequential damages, including lost profits or data.
 - Our total liability to you for any claim will not exceed $50.
 
9. Indemnification
You agree to indemnify and hold Bugvanta, its officers, employees, and agents harmless from any claims, damages, or expenses arising from your use of the Site, your violation of these Terms, or your User Content.
10. Termination
We may suspend or terminate your access to the Site at our discretion, without liability, if you violate these Terms or misuse the Site.
11. Governing Law & Dispute Resolution
- These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
 - Any disputes arising under or relating to these Terms will be resolved exclusively through binding arbitration on an individual basis under the rules of the American Arbitration Association (AAA).
 - You waive any right to a jury trial or to participate in class or representative actions.
 - If you are an Idaho resident, certain consumer rights provided under Idaho law may still apply to you and remain unaffected by this provision.
 
12. Arbitration Procedures
- Notice of Dispute. Before beginning arbitration, you must first send Bugvanta Pest Control LLC a written notice of the dispute (“Notice”). The Notice must include your name, address, contact information, the facts giving rise to the dispute, and the relief requested. Notices must be sent to:

Informal Resolution. Both parties agree to attempt in good faith to resolve the dispute informally within thirty (30) days of receiving the Notice. If unresolved, either party may initiate arbitration.
Arbitration Rules. Arbitration shall be administered by the AAA under its Consumer Arbitration Rules. The arbitration will be conducted by a single, neutral arbitrator. Rules are available at www.adr.org or by calling 1-800-778-7879.
Location. Unless otherwise agreed, arbitration hearings will take place in Wyoming. If you are an Idaho resident, hearings may also be held in Idaho for convenience. Claims under $10,000 may be resolved by non-appearance arbitration (telephonic, online, or written submissions).
Costs. Bugvanta will cover any AAA filing and arbitration fees beyond what you would pay to file in state court. Each party bears its own attorneys’ fees unless the arbitrator awards otherwise under applicable law.
Award. The arbitrator may grant any relief available under applicable law, but only on an individual basis. The award is final and binding and may be entered in any court of competent jurisdiction.
Class Action Waiver. Claims must be brought individually. Neither you nor Bugvanta may participate in class, collective, or representative actions.
Exceptions. Either party may bring an individual claim in small claims court (if within jurisdiction) or seek emergency equitable relief in a court of competent jurisdiction. 
13. Changes to These Terms
We may update these Terms from time to time. Changes will be effective when posted on the Site. Continued use of the Site after changes means you accept the updated Terms.
